USING WAYLILY

Terms of Service

Effective October 19, 2026

These Terms govern your use of Waylily at waylily.com (the "Service"), operated by Waylily LLC, a Colorado limited liability company ("Waylily," "we," "us"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Current free access

Waylily is currently available at no charge. The Service is still evolving: features may change, be unavailable, or be discontinued as we test and improve it. We may limit access or usage to maintain service quality, including enforcing plan-specific limits. Current free access does not mean every feature will remain free indefinitely.

2. Plan limits and future paid plans

The Free plan includes up to two working projects, with one active at a time and up to two event reactivations per calendar month. Completed or archived projects do not count toward the working-project allowance. Creating a project does not automatically remove older projects. Plus, Studio, and Business are planned to offer unlimited project creation, subject to reasonable technical, security, and acceptable-use safeguards. We reserve the right to change, introduce, or discontinue plan features, prices, allowances, and usage limits, including the Free project allowance, at our discretion to the extent permitted by law. Where required by law or an applicable paid subscription agreement, we will give advance notice and honor applicable cancellation, refund, and existing paid-term rights. We will not charge users for a paid plan without their affirmative agreement.

Paid subscriptions may be introduced in the future. No subscription charges apply to your current free access. Before any paid subscription begins, we will present the applicable price, billing period, renewal and cancellation terms, and any additional payment terms. We will not automatically charge existing users merely because paid plans become available.

3. Accounts and eligibility

You must provide accurate account information, keep your login credentials secure, and notify us if you suspect unauthorized access. You are responsible for activity under your account. You must be legally able to agree to these Terms; the Service is not intended for children under 13.

4. Your content

You retain ownership of the content you submit, including event details, schedules, documents, and checklists. You grant Waylily a limited permission to host, process, reproduce, and display that content solely as needed to provide, secure, maintain, and improve the Service and its requested features. You represent that you have the necessary rights to submit it and that your use does not violate others' rights or privacy.

5. Acceptable use

Do not use the Service unlawfully; upload malicious code; attempt to access other accounts or systems; interfere with operations; reverse engineer protected parts of the Service where prohibited by law; or submit content that infringes rights or unlawfully exposes personal information. We may restrict access when reasonably necessary to protect the Service or others.

6. AI-assisted features

AI-assisted imports may produce incomplete or incorrect information. You are responsible for reviewing schedules, dates, contact information, and other output before using it. Do not rely on the Service as your only source for safety-critical or time-sensitive decisions.

7. Availability and changes

We aim to keep Waylily useful and available, but the Service is provided on an "as available" basis. We may modify, suspend, or discontinue features, and we may update these Terms. Material changes will be communicated when required by law.

8. Intellectual property

Waylily's branding, design, software, and other Service materials belong to Waylily or its licensors, excluding your content. These Terms grant you a limited, revocable, nonexclusive right to use the Service as intended; they do not transfer ownership of our intellectual property.

9. Disclaimers and liability

To the extent permitted by applicable law, the Service is provided without warranties of uninterrupted availability, error-free operation, or fitness for a particular purpose. To the extent permitted by law, Waylily is not responsible for indirect or consequential losses arising from use of the Service. Nothing in these Terms excludes rights or liabilities that cannot lawfully be excluded.

10. Ending your use

You may stop using the Service at any time. To request account deletion, contact hello@waylily.com. We may suspend or terminate access for serious violations or security reasons, subject to applicable law.

11. Governing law

These Terms are governed by applicable laws of the United States and, where appropriate, the state in which the operator is based, subject to mandatory consumer protections that apply to you. Any dispute process must comply with applicable law.
